1. Acceptance of Terms

By accessing or using the Sopulo software and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including organizations and their employees who access the Service on behalf of an organization.

2. Description of Service

Sopulo is an AI-guided workflow and document generation platform designed to run locally on your organization's hardware. The Service allows supervisors to define structured SpecKit methodologies and enables employees to produce consistent, policy-compliant documents through guided AI conversations. Sopulo may also provide a cloud-based landing page, contact form, and account management portal.

3. Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at contact@sopulo.com if you suspect any unauthorized use of your account.

4. User Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to produce content that is illegal, defamatory, discriminatory, or harmful;
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service;
  • Share your license or account credentials with unauthorized third parties;
  • Use the Service to train competing AI models or products;
  • Circumvent any security or access controls built into the Service.

5. Intellectual Property

Sopulo and its licensors retain all intellectual property rights in the Service, including the underlying software, AI models, SpecKit engine, and user interface. You retain full ownership of any content you create using the Service, including documents generated through SpecKit-guided conversations. You grant Sopulo a limited, non-exclusive license to process your content solely as needed to operate the Service.

6. Local Operation and Data Residency

The core Sopulo application is designed to operate on your organization's own infrastructure. When running locally, your documents, conversations, and knowledge base content are processed and stored exclusively on your hardware and never transmitted to Sopulo's servers. However, cloud features such as account management, licensing verification, and the contact form do involve communication with Sopulo's cloud services. Please review our Privacy Policy for details on what data is collected through those channels.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. Sopulo does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated content may contain inaccuracies and should be reviewed before use in official documents or legal proceedings. You assume full responsibility for validating any output produced by the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Sopulo and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Sopulo's total liability for any claim arising from the Service shall not exceed the fees you paid to Sopulo in the twelve months preceding the claim.

9. Termination

Sopulo may suspend or terminate your access to the Service at any time for breach of these Terms or for any other reason with reasonable notice, except in cases of serious violations where immediate termination may be necessary. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and the jurisdiction in which Sopulo is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
